These Terms of Service (“Terms”) govern your access to and use of Joni, the personal AI operating system provided by Mezada Development and Software Ltd, registration number: 515306199 (“Joni”, “we”, “us”, or “our”).
By creating an account, accessing, or using Joni, you agree to be bound by these Terms. If you do not agree, do not use Joni.
Service: The Joni application, website, agent infrastructure, and all related features.
JONI: The orchestrator that coordinates the specialized agents working on your behalf.
Agent: A specialized AI process that performs tasks within your workspace, including agents that send email, place calls, browse the web, or analyze data.
Workspace: Your isolated environment, including encrypted storage, your custom subdomain, your agent email address, and your dedicated phone line.
Credits: The unit of account used inside Joni. One Credit equals $0.01 USD. Credits are consumed when agents perform actions.
Top Up: A one-time, non-renewing purchase of additional Credits.
Subscription: A recurring plan (Personal or Enterprise) that grants a monthly allotment of Credits and renews automatically until cancelled.
Joni Store: The marketplace where third party developers publish agents and skills.
Wallet: A multi-chain digital asset wallet feature available within the Service.
You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to use Joni. By using the Service you represent that you meet this requirement and have the legal capacity to enter into these Terms. Joni is not directed at children, and we do not knowingly collect data from anyone under 18.
To use Joni you must register an account. During onboarding you will receive or select a handle, and your Workspace will be provisioned with a custom subdomain on .joni.computer, an agent email address, and a blockchain wallet.

You must notify us promptly of any unauthorized use of your account. We are not liable for losses arising from your failure to safeguard your credentials.
Joni provides you with a personal AI computer delivered as a chat application. JONI orchestrates a team of specialized Agents that operate within your isolated Workspace. The Service includes a persistent memory system that stores long-term facts and dated working notes to improve continuity across sessions.
We may add, change, or remove features at any time. We will make reasonable efforts to notify you of material changes that adversely affect core functionality.

Your Agents can take real world actions on your behalf, including but not limited to sending and receiving email from your agent email address, placing and receiving calls on your dedicated phone line, browsing websites, completing forms, and interacting with third party services.

You agree not to configure or instruct Agents to perform any action that violates Section 9 (Acceptable Use) or applicable law.
Credits are the unit of account inside Joni. One Credit equals $0.01 USD. Agents consume Credits when they perform actions, based on published burn rates that reflect underlying provider costs plus a margin. Credits have no cash value, are not a deposit, and are not redeemable for cash except where required by law.
Credits roll over for up to 6 months from the date they are granted or purchased. Unused Credits expire after this period.
Personal and Enterprise Subscriptions grant a monthly allotment of Credits and renew monthly until cancelled. Subscriptions are auto renewable purchases. You may cancel at any time, with cancellation taking effect at the end of the current billing period.
A Top Up is a one-time, non-renewing purchase of additional Credits. A Top Up does not renew automatically and is added to your balance as a consumable.
Where you purchase Subscriptions or Top Ups through a third party app store (such as the Apple App Store), the purchase is also subject to that store’s terms. Billing, renewals, refunds, and cancellations for those purchases are handled by the app store in accordance with its policies. Prices for in app purchases may differ from web prices to account for app store commissions.
Credits granted as part of a coupon, promotion, trial, or bonus may carry conditions and are non-transferable. We may modify or withdraw promotional Credits at any time.
Prices may exclude applicable taxes. You are responsible for any taxes associated with your purchases, except for taxes on our income.
We may change prices, burn rates, plan allotments, and the Credit model on a going forward basis. We will provide reasonable notice of material changes.
The Service may allow you to transfer Credits to another user. Transfers are subject to the following:
We may suspend or limit transfers to prevent fraud, abuse, or violation of law.
You agree not to use the Service, or configure your Agents, to:
We may suspend or terminate access for violations, and may remove content or disable Agents that breach this section.
The Joni Store lets third party developers publish agents and skills. When you install or use third party agents or skills:
We may review, restrict, or remove listings, but we are not obligated to monitor third party content. If you publish to the Joni Store, you are subject to separate developer terms and are responsible for your listings.
You retain ownership of the content you provide to Joni, including prompts, files, and the outputs generated for you (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to operate, secure, and improve the Service and to perform the actions you request.
You are responsible for Your Content and for having the rights necessary to provide it. Do not upload content you are not permitted to use.
The Service, including its software, design system, branding, and the JONI orchestrator, is owned by us or our licensors and is protected by intellectual property laws. Joni is built on a fork of the OpenClaw framework and complies with the applicable open source license terms. Except for the rights expressly granted in these Terms, we reserve all rights. You may not copy, modify, reverse engineer, or create derivative works from the Service except as permitted by law or an applicable open source license.
The Service relies on third party providers to deliver functionality, including infrastructure, model routing, email, and browsing services. Your use of the Service may involve transmitting data to these providers as described in our Privacy Policy. We are not responsible for the acts or omissions of third party providers, and your use of their services may be subject to their terms.
Our Privacy Policy explains how we collect, use, and share information. By using the Service you acknowledge that we process information as described there.
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the Service will be uninterrupted, error free, or secure, or that AI outputs will be accurate or reliable. To the maximum extent permitted by law, you use the Service at your own risk.
To the maximum extent permitted by law, we and our affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or digital assets, arising from or related to your use of the Service.
To the maximum extent permitted by law, our total liability for any claim arising from or related to the Service will not exceed the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim, or (b) $100 USD.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, actions taken by your Agents at your direction, or your violation of these Terms or applicable law.
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users.
On termination, your right to use the Service ends. We may delete your Workspace and data in accordance with our Privacy Policy and retention practices. Sections that by their nature should survive termination will survive, including Sections 11 through 17, 19, and 20.
We may update these Terms from time to time. We will post the updated Terms with a new “Last updated” date and, for material changes, provide additional notice. Your continued use after the changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Israel, without regard to conflict of law rules. Any dispute will be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel, unless otherwise required by applicable consumer protection law in your jurisdiction.
